Eligibility & Account Requirements
Age Requirement
You must be at least 18 years old to use the Services and enter into this legally binding agreement.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
Account Management
BotOS may suspend or terminate accounts for violation of these Terms to protect our platform integrity.
License & Usage Restrictions
What You Can Do
BotOS grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
What You Cannot Do
  • Reverse engineer, decompile, or disassemble the Services
  • Use the Services to develop competing products
  • Resell, sublicense, or provide the Services to third parties without express written consent
  • Use the Services for unlawful, harmful, or abusive purposes

Important: Violations of these restrictions may result in immediate termination of your access to the Services.

You grant BotOS a worldwide, royalty-free license to process, host, store, and analyze your data for service provision and improvement.

Service Availability & Modifications
Our Commitment
BotOS strives for high availability and reliable service delivery, implementing robust infrastructure and monitoring systems to ensure optimal performance.
Service Changes
We reserve the right to modify, suspend, or discontinue parts of the Services at any time with or without notice to maintain security, improve functionality, or comply with legal requirements.
Note: While we cannot guarantee uninterrupted or error-free service, we work diligently to minimize disruptions.
Fees & Payment Terms
Billing Structure
Subscription fees are billed according to the plan selected during registration. Billing cycles are clearly defined in your account dashboard.
Refund Policy
All fees are non-refundable unless expressly stated otherwise in specific promotional offers or service level agreements.
Pricing Changes
BotOS reserves the right to adjust pricing with appropriate notice to users, typically provided 30 days in advance.
Intellectual Property Rights
BotOS Ownership
All rights, title, and interest in and to the Services, including software, AI models, documentation, and branding, remain exclusively with BotOS.
This includes but is not limited to:
  • Proprietary algorithms and AI models
  • User interface designs and layouts
  • Documentation and training materials
  • Trademarks and brand elements
Important: No rights are granted except as expressly set forth in these Terms.
Compliance & Security Requirements
Legal Compliance Obligations
Users must comply with all applicable laws and regulations, including but not limited to:
TCPA Compliance
Telephone Consumer Protection Act requirements for automated communications and consent management.
TSR Requirements
Telemarketing Sales Rule compliance for all sales and marketing communications.
Privacy Laws
HIPAA, GDPR, and other privacy/data protection laws applicable to your industry and location.
Industry Standards
Any industry-specific compliance obligations relevant to your business operations.

BotOS implements comprehensive security measures but is not liable for breaches caused by your actions or third-party integrations.
AI Output Responsibility

Output Accuracy
AI-generated outputs may be inaccurate, incomplete, or require human review. You are solely responsible for reviewing, validating, and approving all outputs prior to use.

Professional Verification
You agree not to rely on AI outputs for legal, medical, financial, or other regulated advice without independent professional verification.

Regulatory Compliance
You assume full responsibility for any use of AI outputs, including compliance with TCPA, DNC, HIPAA, GDPR, and all other applicable regulations.

Liability Disclaimer
BotOS disclaims all liability arising from your reliance on or misuse of AI outputs in any business or personal context.
Service Disclaimers
As-Is Service Provision
The Services are provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
AI Output Limitations
AI outputs are not guaranteed to be accurate or error-free. Machine learning systems may produce unexpected or incorrect results that require human oversight.
Critical: Users must exercise appropriate judgment and verification when using AI-generated content.
Limitation of Liability
Damage Limitations
To the maximum extent permitted by law, BotOS is not liable for indirect, incidental, consequential, or punitive damages.
Financial Cap
BotOS's total liability for any claim is limited to the amount you paid for the Services in the twelve (12) months preceding the claim.
These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
Indemnification Requirements
Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless BotOS and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of:

Service Usage
Your use of the Services in any manner, including both authorized and unauthorized usage patterns.

Your violation of these Terms or any applicable laws, regulations, or third-party rights.

Any data, content, or materials you provide through the Services, including accuracy and legality.

Compliance Failures
Your failure to comply with applicable laws and regulations (including TCPA, DNC, HIPAA, GDPR, and others).
Governing Law & Dispute Resolution
Legal Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles.
This choice of law provides consistency and predictability in legal interpretation and enforcement.
Court Jurisdiction
Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
Both parties consent to the personal jurisdiction of these courts for all matters arising under these Terms.

This exclusive jurisdiction clause ensures efficient resolution of any legal disputes that may arise.
